Hamburg, December 23, 2021: Clean Logistics SE (formerly operating as SendR SE, ISIN DE000A1YDAZ7) will acquire a further 49.7% of the shares in E-Cap Mobility GmbH ("E-Cap"), headquartered in Winsen (Luhe), as planned on December 23, 2021, as part of a capital increase through contributions in kind. A corresponding contribution agreement was concluded today. Clean Logistics' previous shareholding in the company was 25.1% (see ad hoc announcement dated November 11, 2021). The number of shares to be issued is still being determined on the basis of a valuation report and has been provisionally assumed to be 984,848. Clean Logistics plans to increase its stake in the company to 100% in the coming months.
Clean Logistics and E-Cap have been working closely and successfully together for many years in the areas of prototyping and research and development, among others. There are plans to extend this cooperation to other areas such as the conversion of diesel-powered vehicles to zero-emission hydrogen propulsion.
Dirk Graszt, CEO of Clean Logistics: "We are fully convinced of the further potential of E-Cap. The current increase in our stake to now 74.8% represents another important step in our consolidation strategy and will contribute significantly to improvements in sales and earnings already in 2022."
